ZWPhone Purchase Agreement

To use the ZWPhone Cloud Phone purchase service (hereinafter referred to as: "this Service"), please carefully read, understand, and comply with the "ZWPhone Cloud Phone Purchase Service Agreement" (hereinafter referred to as: "this Agreement").

This Agreement is entered into by and between you and HONG KONG BETTENS TECHNOLOGY CO.,LIMITED (hereinafter referred to as: BETTENS), and has the force of a contract. BETTENS highlights in bold or other reasonable manners the clauses in this Agreement that may have a significant impact on your rights and interests, including but not limited to clauses exempting BETTENS from liability (hereinafter: "Exemption Clauses"), clauses restricting user rights (hereinafter: "Restriction Clauses"), clauses stipulating dispute resolution methods and judicial jurisdiction, etc. If you believe that such clauses may lead to partial or total loss of your interests or rights in specific circumstances, please read the aforementioned clauses again before confirming your agreement to this Agreement or using this Service, and use this Service only on the premise that you voluntarily accept such clauses.

If you do not agree to any or all of the terms of this Agreement, especially the aforementioned clauses that may have a significant impact on your rights and interests, please do not proceed with the next operation or use this Service in the form of accepting the Service (including but not limited to clicking "Agree/Accept/Next", entering the purchase process, entering the renewal process, conducting or participating in any transactions or activities related to this Service, or using any other form of confirmation operation, collectively referred to as: "Form of Accepting the Service"). When you proceed with the next operation or use this Service in the Form of Accepting the Service, it indicates that you have read, understood, and agreed to sign this Agreement, that you have entered into an agreement relationship with ZWPhone Cloud Phone, and that you voluntarily accept and comply with all provisions of this Agreement.

If you are under 18 years old, please read and confirm the terms of this Agreement under the accompaniment of your legal guardian.

1. [Definitions and Explanations of the Agreement]

1.1 [ZWPhone Cloud Phone Purchase Service System]

If you need to use and enjoy the ZWPhone Cloud Phone purchase service, you must obtain it by purchasing or renewing on the mobile, web, or desktop purchase or renewal interface of ZWPhone Cloud Phone. After successful purchase or renewal, you will enjoy the corresponding cloud phone services and rights during the effective period of the relevant purchase duration. If you see information about the ZWPhone Cloud Phone purchase service on a third-party platform, please first verify with ZWPhone Cloud Phone customer service or confirm the authenticity of the third-party service provider's information via the designated email or phone to avoid being deceived.

The ZWPhone Cloud Phone purchase service can be used on Android systems. Please carefully review the list of supported applications/games provided before purchasing the service, or consult customer service to understand if the applications/games you need are available, before deciding whether to subscribe to the ZWPhone Cloud Phone purchase service. You understand and agree that, due to the special nature of network services, BETTENS has the right to change, adjust, cancel, or add all or part of the purchase rights and featured purchase services based on market conditions.

1.2 [This Agreement]

This Agreement is a supplementary agreement to the "ZWPhone Cloud Phone Platform User License Agreement" and "Privacy Policy", an inseparable part thereof, and together with them forms a unified whole. In case of any conflict between this Agreement and the aforementioned contents, this Agreement shall prevail.

The contents of this Agreement also include relevant agreements, business rules, etc., that BETTENS may continuously publish regarding this Service. Once the aforementioned contents are officially published, they become an inseparable part of this Agreement and take effect for both parties.

1.3 [Agreement Modification]

User guidelines, activity rules, usage rules, announcements, prompts, notices, and online FAQs regarding ZWPhone Cloud Phone purchases that are periodically published and revised by the ZWPhone Cloud Phone purchase service provider.

BETTENS reserves the right to modify this Agreement (modification includes changing, adding, or reducing the corresponding terms). Once this Agreement is modified, BETTENS will publish it through system prompts/information pushes and/or backend announcements, etc. Please read it carefully. When you proceed with the next operation or continue to use this Service in the Form of Accepting the Service, it indicates that you have accepted all modifications to this Agreement. If you have any questions about the modifications to this Agreement, you may consult via email (contact email: zwphone@163.com). The updated Agreement shall take effect from the date of publication of the updated version.

1.4 [Usage Principles]

During your use of the ZWPhone Cloud Phone purchase service, you shall comply with the provisions of laws and regulations and shall not use this Service to engage in any illegal or违规 activities, including but not limited to the following behaviors:

  1. Violating the basic principles established by the Constitution;
  2. Endangering national unity, sovereignty, and territorial integrity;
  3. Leaking state secrets, endangering national security, or damaging national honor and interests;
  4. Inciting ethnic hatred or discrimination, undermining ethnic unity, or infringing on ethnic customs and habits;
  5. Promoting cults or superstitions;
  6. Spreading rumors, disrupting social order, and undermining social stability;
  7. Promoting obscenity, pornography, gambling, violence, or instigating crimes;
  8. Insulting or defaming others and infringing on others' legitimate rights and interests;
  9. Violating social morals;
  10. Other contents prohibited by laws, administrative regulations, and national provisions.

In any case, if BETTENS reasonably believes that a user has engaged in the aforementioned behaviors, it may, at any time without prior notice, terminate the provision of services to such user, save relevant information in accordance with laws and regulations and report to relevant authorities, etc. The user shall bear all legal liabilities arising therefrom independently, and if it causes losses to BETTENS, the user shall compensate.

2. [ZWPhone Cloud Phone Purchase Account Management and Use]

2.1 [Account Management]

You shall correctly use and properly keep, maintain your ZWPhone Cloud Phone purchase account and password. If any leakage, loss, theft, or other such behaviors occur, and such behaviors are not caused by statutory fault of BETTENS, all losses shall be borne by you. If you discover that others are impersonating or stealing your account and password or any other unauthorized use or any other unsafe behavior, you shall immediately notify BETTENS in an effective manner and request the ZWPhone Cloud Phone platform to suspend the relevant services. At the same time, you understand that BETTENS needs a reasonable period to take action on your request. Before that, the ZWPhone Cloud Phone platform shall not bear any responsibility for the executed instructions and the losses caused to you;

2.2 [Usage Rules]

2.2.1 [Legitimate Acquisition and Use]

  1. Any ZWPhone Cloud Phone purchase service obtained through theft, exploitation of system vulnerabilities, or any non-official or unauthorized channels of ZWPhone Cloud Phone (including but not limited to obtaining through purchase, renewal, rental, borrowing, transfer, etc.), maliciously exploiting the authorization or transfer function of ZWPhone Cloud Phone, or obtaining purchase services through disrupting ZWPhone Cloud Phone purchase activities, are all illegal behaviors, not protected under this Agreement. ZWPhone Cloud Phone reserves the right to cancel and not provide the purchase service. All losses and liabilities arising therefrom shall be borne by the infringing party.
  2. When using the ZWPhone Cloud Phone purchase service or participating in related promotional activities, you shall also do so through the purchase or renewal interfaces authorized and published by ZWPhone Cloud Phone. Any ZWPhone Cloud Phone purchase service illegally obtained by users through any other channels, means, or methods are illegal behaviors, not protected under this Agreement. Once discovered, ZWPhone Cloud Phone reserves the right to immediately delete, cancel, suspend, or take other account management measures such as suspending or terminating the provision of services to you. All losses and liabilities arising therefrom shall be borne by the infringing party.
  3. When participating in purchase activities, you shall do so in accordance with the activity rules and in a legitimate manner that does not harm the interests of the activity organizer. Participating in activities and obtaining related benefits through exploiting system vulnerabilities, rule-setting defects, system configuration errors, abusing special permissions, etc., are all illegal behaviors, not protected under this Agreement. ZWPhone Cloud Phone reserves the right to take corresponding measures for handling, and all losses and liabilities arising therefrom shall be borne by the infringing party.
  4. You shall comply with national laws, regulations, policies, and the usage rules published by the ZWPhone Cloud Phone platform when using this Service.

2.2.2 [Proprietary and Non-Commercial Use]

  1. The ZWPhone Cloud Phone purchase service grants you, on the premise of complying with this Agreement and relevant laws and regulations, a personal, non-transferable, non-commercial, revocable, time-limited, and exclusive license, which you may use only for personal non-commercial purposes.
  2. You understand and agree that you shall not provide the ZWPhone Cloud Phone purchase service you enjoy to others for use through authorization functions or any other means, including but not limited to authorizing or transferring to third parties for use via authorization or transfer functions, or transferring, renting, lending, selling, etc., to others. Otherwise, all legal consequences and liabilities arising therefrom shall be borne by you, and the ZWPhone Cloud Phone platform reserves the right to suspend or terminate the provision of services to you.
  3. The authorization or transfer functions in this software are only for use when abnormal situations occur during your use of the cloud phone, and you must authorize or transfer to a third party via the authorization or transfer function to assist in collaborative work to resolve the abnormal issue. Except for this situation, you shall not use the authorization or transfer function for any commercial purposes. At the same time, please note: Due to the use of the authorization or transfer function, there is a risk that your privacy information may be leaked to the third party during the authorization or transfer operation process. Therefore, please use this function cautiously when necessary. If a dispute arises between you and a third party due to the authorization or transfer function, you and the third party shall resolve it independently, and BETTENS shall not bear any responsibility.
  4. You understand and agree that BETTENS has the right to understand the true background and purpose of your use of this software service, and has the right to require you to provide true, complete, and accurate information. If BETTENS has reasonable grounds to suspect that the information you provide is untrue, involves unauthorized offline transactions, fictitious transactions, or your behavior violates the service rules of the ZWPhone Cloud Phone platform, ZWPhone Cloud Phone reserves the right to temporarily or permanently restrict part or all functions of the services used under your account.
  5. If you engage in any of the following behaviors, ZWPhone Cloud Phone will directly deem your behavior as using the authorization or transfer function for offline transactions for commercial purposes, and ZWPhone Cloud Phone reserves the right to temporarily or permanently restrict part or all functions of your account. You may submit materials proving account abnormality requiring third-party assistance through the appeal channel to apply for unblocking from ZWPhone Cloud Phone.
    • a. For profit-making purposes, using the platform's authorization or transfer function to publish information on cloud phone rental or transfer on third-party e-commerce and social platforms.
    • b. Multiple times within a monthly cycle, authorizing or transferring part or all cloud phones under your ZWPhone Cloud Phone account to any third-party user via the authorization or transfer function.

2.2.3 [Special Reminders on Usage Guidelines]

  1. You shall not use this Service to engage in any acts infringing the intellectual property rights, property rights, reputation rights, or other legitimate rights and interests of ZWPhone Cloud Phone or any third party;
  2. This Service is a paid service. Any means of infringing or disrupting ZWPhone Cloud Phone's fee collection shall entitle ZWPhone Cloud Phone to pursue the responsible party's liability and seek compensation;
  3. You shall not use this Service to engage in any acts endangering or suspected of endangering minors;
  4. You shall not use this Service to engage in any acts violating laws, regulations, policies, public order and good morals, or social ethics;
  5. You fully understand and agree that you must be responsible for all behaviors under your login account, including but not limited to any content you post and any consequences arising therefrom. You shall independently judge the content in this Service and bear all risks arising from the use of the content.
  6. Recharge records and video data between each ZWPhone Cloud Phone account cannot be transferred, migrated, transferred, gifted, sold, rented, shared, etc., regardless of whether such accounts are owned by the same user. Please pay attention to distinguish them when logging in and/or recharging/participating in activities to avoid losses.

2.2.4 [Account Recovery]

If you lose or forget the account information used to log in to ZWPhone Cloud Phone, resulting in inability to log in to ZWPhone Cloud Phone, if you need to recover it, you must provide the corresponding information and proof in accordance with BETTENS's account recovery process requirements, and ensure that the provided information and proof documents are legal, true, and valid. If the provided materials are untrue or do not meet the requirements and fail BETTENS's security verification, it may lead to account recovery failure, and the corresponding risks and losses shall be borne by you. You understand that BETTENS needs a reasonable time to take action and process your request. Except for statutory faults of BETTENS, BETTENS shall not bear any responsibility for your losses.

3. [Special Provisions on ZWPhone Cloud Phone Purchase Service]

3.1 [Payment]

After you successfully purchase or renew this Service through the payment method specified on the payment interface, except for statutory circumstances, it cannot be transferred or refunded, regardless of whether such fees have been consumed. BETTENS reserves the right to decide whether, when, and in what manner to refund you. If BETTENS agrees to refund, you shall compensate for the fees incurred by using credit cards, mobile phones, or other payment channels at the time of payment (if any), and BETTENS reserves the right to directly deduct them from your refund; after refund, BETTENS reserves the right to directly terminate the service corresponding to the refund.

This Service is a paid service provided by BETTENS. You must pay the corresponding fees in accordance with the charging standards of this Service before you can use it. BETTENS may, based on the overall planning of this Service, modify and change the detailed rules of related rights, charging standards, methods, etc. of this Service. The aforementioned modifications and changes will be updated and displayed on the corresponding service pages by BETTENS. BETTENS will provide different discounts for purchases and renewals at different stages based on actual conditions. The specific discount policies shall be subject to the information published by BETTENS on the relevant service pages. At the same time, we encourage you to regularly review the contents of this Agreement to better protect your rights and interests. You hereby understand and agree that due to different activities or purchase levels, ZWPhone Cloud Phone purchases will enjoy different value-added services or fees.

All rights you can enjoy after purchasing or renewing ZWPhone Cloud Phone purchase shall be subject to those published on the official website of ZWPhone Cloud Phone. BETTENS reserves the right to change all or part of the purchase rights based on its own business development needs. Regarding the aforementioned rights adjustments, ZWPhone Cloud Phone will notify and remind you through updates and displays on the corresponding service pages, system prompts, information pushes, and/or notifications to the contact information you left on our platform. You can also query the latest purchase rights contents through the official website or mobile app of ZWPhone Cloud Phone.

You shall not activate this Service for yourself or others through any of the following methods:

  1. Activating this Service for yourself or others for profit-making, operational, or other non-personal use purposes;
  2. Activating this Service for yourself or others through any robot software, spider software, crawler software, screen-brushing software, or other programs or software methods;
  3. Activating this Service for yourself or others through any improper means or in violation of the principle of good faith;
  4. Activating this Service for yourself or others through methods not specified by ZWPhone Cloud Phone;
  5. Activating this Service for yourself or others in a manner infringing the legitimate rights and interests of ZWPhone Cloud Phone or others;
  6. Activating this Service for yourself or others through other methods violating relevant laws, administrative regulations, or national policies.

3.2 [Service Term]

Except as otherwise provided in this Agreement, the term of this Service shall be the term you select and successfully pay the corresponding service fees, effective from the date you select and purchase or renew this Service, until the expiration of the service or you terminate this Service/cancel purchase qualification/cancel account. You can also inquire via customer service or the relevant service page.

You understand, are aware of, and agree that during the service period of this Service, due to the special nature of Internet services, to provide you with high-quality services, ZWPhone Cloud Phone must perform server maintenance, adjustments, upgrades, etc., from time to time. In addition, after force majeure events such as hacker attacks, computer virus intrusions, regulatory authority policy notices, etc., ZWPhone Cloud Phone must resolve faults and handle related infringement matters. Therefore, you accept that the service term of this Service includes the reasonable time required by ZWPhone Cloud Phone to resolve faults, server maintenance, adjustments, upgrades, handling third-party infringements, etc., and BETTENS shall not provide additional compensation for the time required for the aforementioned situations.

3.3 [Special Reminders on ZWPhone Cloud Phone Purchase Rights]

You understand and agree that due to differences in product technologies of the device terminals you use, the ZWPhone Cloud Phone purchase rights and benefits may vary on different terminals. Specifically, they shall be subject to the page descriptions of ZWPhone Cloud Phone and the services supported by the terminal. You acknowledge and understand any inconvenience this may cause to you, and you waive or exempt BETTENS from related liabilities. BETTENS reserves the right to change, adjust, cancel, or add part or all of the ZWPhone Cloud Phone purchase rights and featured purchase service contents based on legal provisions, policy changes, operational needs, etc. Regarding the aforementioned rights adjustments, BETTENS will publish them on the purchase page, corresponding service pages, or in other reasonable manners, and they shall take effect after publication. After publication, when you proceed with the next operation or continue to use this Service in the Form of Accepting the Service, it indicates that you have carefully read and accepted the updated ZWPhone Cloud Phone purchase service. If you have any questions about the modifications to this Agreement, you may consult customer service.

Based on the nature and characteristics of virtual products, the virtual products you obtain cannot be returned, exchanged, redeemed for cash, nor used in commercial fields such as buying, exchanging, pledging, etc. To ensure your user rights, please purchase or renew ZWPhone Cloud Phone purchase products through official channels. All virtual products and their derivative services obtained through non-official published channels are not protected, and BETTENS reserves the right to suspend or terminate services to you; ZWPhone Cloud Phone shall not bear related liabilities for any losses caused thereby.

3.4 [Third-Party Software and Services]

This software may use or include software or services provided by third parties (hereinafter referred to as "such services"). Such services are set up in response to your needs to provide you with more convenience. BETTENS does not provide content creation. When using such services, you shall separately enter into a service agreement with the third party, pay the corresponding fees, and bear possible risks. If you continue to use this software or service, it indicates that you have carefully read, understood, and accepted the following:

  1. ZWPhone Cloud Phone has no right under this Agreement to grant you any rights to use third-party software or services, nor to provide any form of warranty or corresponding customer service support for such services. If you need to consult related information, you may contact the third party directly. If any disputes arise or losses are caused due to your use of such services, you may negotiate and resolve directly with the third party, and the ZWPhone Cloud Phone platform shall not bear any responsibility or compensation.
  2. The current software service you are using and the services currently included in this software, ZWPhone Cloud Phone does not guarantee that you may use this Service or the services included in this software permanently unchanged, nor that it will not use other similar or different types of software or services in the future other than the existing ones. Once the service contents in this software are changed/added or upgraded to software including the aforementioned service contents, the provisions of this Agreement shall also apply.
  3. If the third party confirms that you have violated the agreement between you and it regarding the use of such services and stops providing such services to you, and at the same time requires ZWPhone Cloud Phone to assist in handling, you understand and acknowledge that ZWPhone Cloud Phone will take technical measures to suspend or terminate your continued use of the third-party software.

3.5 [Special Explanation on Advertisements]

You understand and agree that during your use of the ZWPhone Cloud Phone service, you will come into contact with commercial advertisements or other types of commercial information delivered in various ways; and you understand and agree that ZWPhone Cloud Phone may send you promotional information, content recommendations, or other related commercial information through emails, in-app messages, mobile SMS, WeChat, website announcements, or other means. If you do not wish to receive such information, you may unsubscribe through the effective contact methods published by BETTENS; however, please note that if you unsubscribe from such information, you may not be able to enjoy or fully enjoy the ZWPhone Cloud Phone service.

4. [Liability for Breach]

4.1 During your use of this Service, you shall not engage in the following breaching behaviors:

  1. Violating the provisions of this Agreement;
  2. Violating laws, regulations, rules, ordinances, and any other norms with legal effect;
  3. Damaging or affecting ZWPhone Cloud Phone's provision of this Service to any third party;
  4. Engaging in acts endangering computer network security;
  5. Causing adverse effects to the services and activities provided by BETTENS and its affiliated third parties (including licensors and partners) under this Agreement, infringing the legitimate interests of BETTENS and/or its affiliated third parties and/or other users;
  6. Being determined by relevant authorities to infringe any third party's legitimate rights and interests;
  7. Obtaining illegal benefits through this Service, including but not limited to profiting through resale, transfer, authorization, or other improper behaviors;
  8. Other acts infringing BETTENS's legitimate interests.

4.2 [Handling of Breaching Behaviors]

Upon discovering breaching behaviors, BETTENS reserves the right to take one or more of the following measures for handling:

  1. Taking technical measures to delete or disconnect the relevant information;
  2. Suspending or terminating part or all of this Service, including but not limited to;
  3. BETTENS shall not refund any fees to you. Unused service fees shall be forfeited to BETTENS as liquidated damages. You shall bear the losses in your account independently, and if losses are caused to BETTENS (including but not limited to attorney fees, litigation fees, etc.), you shall also compensate.

4.3 [Compensation Liability]

If the user's breaching behavior causes losses to BETTENS and its affiliates, including its own direct economic losses, goodwill losses, and indirect economic losses such as compensation payments, settlement amounts, attorney fees, litigation fees, etc., paid to external parties, the user shall compensate BETTENS and its affiliates for all such losses.

If your breaching behavior causes damage to any third party, you shall bear the responsibility independently. If for any reason BETTENS first compensates the third party, you shall immediately pay the compensation to BETTENS upon receiving BETTENS's notice.

5. [Disclaimer]

5.1 You are aware and agree that your use of third-party software on the ZWPhone Cloud Phone platform is a personal behavior, and BETTENS shall not bear responsibility for the security or legitimacy of the user's personal behavior, nor any responsibility;

5.2 When using third-party software, you shall make independent judgments on the relevant content and use it legally. BETTENS shall not bear any responsibility for any damage to yourself or third parties caused by your usage behavior;

5.3 Due to telecommunications or netcom department communication line failures, network failures, system instability, force majeure, or other non-BETTENS causes resulting in loss or reduction of property in your ZWPhone Cloud Phone account and third-party software account, BETTENS shall not bear any responsibility.

5.4 When using the services provided by ZWPhone Cloud Phone, if you suffer any personal or financial losses, damages, or injuries, except as explicitly provided by law, BETTENS shall not bear any responsibility. Due to you disclosing your personal password to others or sharing the registered account with others, resulting in any leakage of personal information, BETTENS shall not bear any responsibility.

5.5 The user understands and agrees that if the user has违规 behaviors in other products operated by BETTENS leading to the user's account being banned, the user will not be able to continue using (including but not limited to browsing, storing, synchronizing, managing, sharing, and downloading, etc.) the ZWPhone Cloud Phone service, and at the same time, ZWPhone Cloud Phone reserves the right not to refund the fees corresponding to the user's remaining purchase rights and other value-added services.

5.6 BETTENS does not warrant the following behaviors:

  • (a) The service will be error-free or uninterrupted;
  • (b) BETTENS will correct all defects or errors related to the service, or prevent all third-party sabotage or unauthorized access related to this Service;
  • (c) This Service will be compatible with your content or any other hardware, software, systems, services, or data not provided by this company.

To the maximum extent permitted by law, unless otherwise expressly provided, BETTENS disclaims and expressly rejects any warranties, representations, terms, conditions, or other forms of commitments, whether express or implied, statutory, or otherwise.

6. [Intellectual Property Rights]

6.1 BETTENS is the intellectual property rights holder of ZWPhone Cloud Phone. All information content related to this software belongs to the intellectual property of BETTENS, including but not limited to: textual expressions and their combinations, icons, decorations, charts, colors, interface designs, layout frameworks, related data, printing materials, or electronic documents of this software. Any unauthorized modification, distribution, rental, translation, disassembly, reverse compilation, or reverse engineering of all or part of this software program without the written consent and authorization of BETTENS constitutes infringement, and BETTENS reserves the right to pursue legal liability in accordance with the law.

6.2 For software, games, text, images, and other information uploaded by other users in this software, you may browse, download, store, and use them, but shall not engage in activities infringing intellectual property rights;

6.3 When sharing games, software, link addresses, etc., you shall publish only after confirming that the content is legal and does not infringe any third party's intellectual property rights;

6.4 When browsing and downloading information shared by other users in this software, if you discover any acts infringing other intellectual property rights, please contact BETTENS in a timely manner for handling. Thank you very much for your assistance.

7. [Suspension, Termination, and Change of Service]

7.1 The suspension or termination of this Service includes the following situations:

  1. Your active suspension or termination, including but not limited to failure to renew upon expiration, etc.;
  2. Your breach of contract, and BETTENS's active suspension or termination of the service;
  3. BETTENS's suspension or termination of the service in accordance with requirements from the state or relevant departments or due to force majeure events;
  4. Other circumstances where the service should be suspended or terminated in accordance with laws, regulations, or this Agreement.

7.2 After suspension or termination of the service, BETTENS has the right but no obligation to ensure that you receive special prompts or notifications. When you find that you cannot log in or enjoy the service, you may consult our customer service personnel.

7.3

When the suspension or termination circumstances stipulated in Article 7.1 occur:

  1. Except for liabilities stipulated by law, BETTENS shall not bear any responsibility to you or any third party;
  2. Fees already collected shall not be refunded;
  3. For ongoing platform transactions, BETTENS will reasonably determine based on the circumstances whether to continue or terminate the relevant transactions, and decide whether to refund or deduct relevant fees as liquidated damages based on the circumstances.

7.4 You agree that due to the special nature of Internet services, legal compliance requirements, or changes in authorization status, BETTENS reserves the right to modify, change, interrupt, or terminate part or all of the services, or change, delete, or transfer user-stored or published content on the ZWPhone Cloud Phone platform (collectively referred to as "Change Behaviors"). BETTENS reserves the right to take the aforementioned Change Behaviors without notifying you, and you agree that the provision of this Service under any provision of this Agreement may be changed, interrupted, or terminated without prior notice. Furthermore, you agree that BETTENS shall not bear any responsibility to you or any third party for any losses caused by Change Behaviors.

8. [Notices]

All notices from BETTENS to users under this Agreement may be delivered through web announcements, in-app messages, client pushes, official account notifications, emails reserved by customers, mobile SMS, or regular mail, etc., and such notices shall be deemed delivered to the user on the date of sending.

To facilitate your receipt of relevant notices, you shall ensure that the reserved contact information is correct and effective, and promptly log in to the ZWPhone Cloud Phone APP to make changes after any change; if you fail to provide correct contact information or fail to inform of new contact methods in a timely manner, resulting in inability to receive notices in time, you shall bear the losses and legal consequences arising therefrom independently.

BETTENS may deliver various notices to you through one or more of the aforementioned methods, and the contents of such notices may have significant favorable or adverse impacts on you. Please ensure that the contact information is effective and pay timely attention to the corresponding notices.

9. [Others]

9.1 [Effectiveness of the Agreement]

When you proceed with the next operation, use, or continue to use this Service in the Form of Accepting the Service, it indicates that you have read and agreed to be bound by this Agreement.

9.2 [Place of Signing the Agreement]

The place of signing this Agreement is Yuelu District, Changsha City, Hunan Province, People's Republic of China.

9.3 [Applicable Law]

The establishment, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the Mainland of the People's Republic of China (excluding conflict of laws).

9.4 [Dispute Resolution]

If any dispute or controversy arises between you and BETTENS, it shall first be resolved through friendly negotiation; if negotiation fails, you agree to submit the dispute or controversy to the people's court with jurisdiction at the place of signing this Agreement, i.e., the people's court with jurisdiction at the location of BETTENS.

9.5 [Clause Headings]

The headings of all clauses in this Agreement are for reading convenience only and have no actual meaning in themselves, and cannot serve as the basis for interpreting the meaning of this Agreement.

9.6 [Clause Effectiveness]

If any clause of this Agreement is partially invalid or unenforceable for any reason, the remaining clauses shall remain effective and binding on both parties.

BETTENS reserves the rights of interpretation and modification of this Agreement to the maximum extent permitted by law.
